Mergers and Acquisitions

Our acquisitions team delivers streamlined and efficient advice dealing with all aspects of buying and selling businesses and companies in England and Wales, acting for vendors, purchasers and funders, including

  • Advising in relation to heads of terms;
  • Drafting and negotiating confidentiality agreements;
  • Raising pre-contract enquiries and conducting due diligence for the buyer;
  • Assisting the vendor in the disclosure exercise and preparing the disclosure letter;
  • Drafting and negotiating the sale and purchase agreement including the warranties required of the vendor;
  • Obtaining necessary consents to the transaction from third parties;
  • Drafting ancillary completion documentation, including board minutes, members’ resolutions and filings at Companies House;
  • Post completion corporate restructuring advice; and
  • Post completion vendor support services; wealth management and reinvestment.

Examples of our team’s recent transactional experience include:

  • advised on the acquisition of construction consultants, Always Group, by international project and construction programme management company, Rhead Group for an undisclosed consideration
  • advising Paramount Communications Group (fully listed in India) in connection with acquiring AEI Cables from TT Group plc (fully listed on the London Stock Exchange), including advising on varying the listing particulars of Luxembourg-listed debt, dealing with insolvency issues surrounding the demise of the London Underground development company and negotiating the funding of the transaction
  • advising the shareholders of Cobent Limited on its sale to Access Intelligence plc for £5.2m.  Access Intelligence is an AIM listed software group that delivers compliance solutions to the public and private sectors (Tim Goodman/ Rita Rajput)
  • advising Valco Capital Partners on Denby Pottery’s acquisition of Burgess Dorling & Leigh, the producers of Burleigh Pottery.  We previously advised Valco on its funding of the £30m MBO out of the Denby Pottery Group, winners of the Insolvency and Rescue Awards 2009 £20m to £30m category (Robert Lee/ Steve Halkett)
