Partnerships and LLPs

We advise on all aspects of partnership law and have particular experience in acting for farming partnerships and limited liability partnerships in the medical sector. Our expertise includes:

  • preparing partnership agreements;
  • advising on partnership disputes;
  • advising on the admission of new partners and the retirement of existing partners; 
  • dissolving partnerships; and
  • conversion to LLP status.

If you are involved in a business partnership and have not drawn up a formal partnership agreement we would advise that you do so. In the absence of a written partnership agreement the provisions of the Partnership Act 1890 will apply in relation to matters such as management, holding of property, sharing profits, introducing new partners, outgoing partners, dissolution, and the distribution of assets post dissolution. Not all of these default provisions may represent the intentions of you or your business partners.

The Limited Liability Partnerships Act 2000 has enabled partnerships to have limited liability status by converting to a limited liability partnership ('LLP'). Members of our team have wide experience of advising in this evolving area, having worked with partnerships, including many in the professional services sector, on their conversion to LLPs.
