Patrick is a Senior Associate in the Commercial team who helps clients by reviewing, drafting, negotiating and advising on all their commercial contracts, in both a business-to-business and business-to-consumer context.

Experience

Patrick specialises in a variety of areas, including:

  • IT, Technology & Digital Gaming
    Drafted a detailed bespoke agreement between a software supplier and its Swedish distributor for the exclusive distribution of its software products and the development and commercialisation of future apps between the parties.
    Reviewed and updated an international software provider’s template SaaS Terms under which it licensed its platform to its clients, including making extensive changes to the data protection addendum, service level agreement and support and maintenance provisions.
    Worked closely with and supported a local award-winning independent games studio in the development and launch of its debut gaming experience on a global online platform, which involved drafting a bespoke set of terms of service for the game, assisting the business in identifying what personal data it collected from users and advising the business on the impact of Brexit on its data protection obligations towards users.
    Worked on secondment for 18 months at an international telecommunications service provider, helping draft and negotiate the contractual terms governing the exit and renegotiation of a major public sector outsourcing contract.
  • Logistics & Distribution
    Reviewed, advised on, and negotiated new agreements for the provision of warehousing and logistics services to a variety of commercial clients, including a bicycle design and manufacturing company, an online beer and wine subscription service and retailer, and a supplier of high-end homeware and lifestyle products. 
    Negotiated with a client’s incumbent UK warehousing and logistics provider around the latter’s ability to impose price increases despite having agreed to fix its rates during the contract term.
    Drafted, advised, and negotiated a new warehousing and logistics agreement for a client supplying textiles in both a B2B and B2C setting. Issues to be resolved included liability for loss of or damage to stock during storage and distribution, termination rights, provisions pertaining to exit and TUPE transfers, and benchmarking reviews of charges and service levels.
  • Outsourcing
    Reviewed, marked-up and negotiated a defence sector contract under which certain design, manufacture, and supply obligations had been outsourced to a client in relation to a wider project. This included identifying those provisions which needed to be flowed down to the client’s subcontractors and drafting an addendum to their standard procurement terms which covered such flow down terms.
    Advised a premiership rugby club in relation to the outsourcing of catering services at its premises and assisted with the drafting and negotiation of the terms of the agreement between the club and the new catering provider.
    Carried out a review of circa 80 IT outsourcing contracts of a leading community pharmacy and healthcare provider against their commercial contracting principles, as part of a wider project in which the client was going through an internal re-organisation and the contracting group entity for such IT outsourcing contracts was changing.
  • Data Protection
    Delivered training to a national children’s book publishers on how to carry out B2B and B2C marketing in a GDPR-compliant way.
    Carried out full data protection audit and gap reports and subsequently drafted GDPR-compliant internal data protection policies and procedures for various clients.
  • Intellectual Property
    Advised a provider of plant-based meat-alternative products on the important issues to consider from an intellectual property perspective when seeking to engage an R&D company to develop and invent new methodologies to improve the commercial viability of its products.
  • Consumer Law
    Advised a local conference and wedding venue on its terms and conditions for hiring its premises and for the provision of training programmes and services, by the venue, to individuals attending corporate events there.

Career

Patrick achieved a 2:1 in Law at the University of Birmingham before completing the Legal Practice Course with a distinction. He has worked at Wright Hassall since 2012, first as a paralegal and then as a trainee solicitor, qualifying into the Commercial team in 2017.

Interests

Patrick is a keen sports enthusiast who enjoys running and following the travails of his beloved Yorkshire County Cricket Club whenever the weather permits.

He is also an avid podcast-listener, keen traveller and reader, attending Leamington’s Feminist Book Club on a monthly basis.
